一、接受條款 / Acceptance of Terms

歡迎使用 map.arno.tw（以下簡稱「本服務」）。本服務由阿諾行銷企劃有限公司（以下簡稱「本公司」、「我們」）提供。當您（以下簡稱「客戶」、「您」）開始使用本服務、簽署服務協議書、或授予本公司為 Google Business Profile 之管理員時，即視為已閱讀、理解並同意接受本條款全部內容之約束。
如您不同意本條款，請勿使用本服務。

Welcome to map.arno.tw (the "Service"), operated by Arno Marketing Planning Co., Ltd. ("the Company", "we", "us"). By using the Service, signing a service agreement, or granting the Company Manager access to your Google Business Profile, you ("the Client", "you") acknowledge that you have read, understood, and agreed to be bound by these Terms in full.
If you do not agree to these Terms, please do not use the Service.
二、服務描述 / Service Description

本服務為 Arno SEO Studio 提供的 Google Business Profile（GBP）自動化管理工具，主要功能包括：
- 商家欄位（描述、營業時間、服務項目、屬性、類別）之檢視與更新
- Local Posts 排程發布
- 圖片排程上傳（含 EXIF 地理資訊處理）
- 顧客評價監控與通知
- AI 輔助評價回覆草擬與寫回
- Q&A 監控與回覆
- 商家成效數據抓取、儲存、視覺化
- 操作審計記錄與 24 小時 rollback 機制
- 季節性優化建議與每週優化動作清單
本服務之具體功能範圍可能依您所簽署之服務協議書而有所差異，並可能隨產品迭代而新增、修改或移除。

The Service is an automated Google Business Profile (GBP) management tool provided by Arno SEO Studio, with primary features including:
- Viewing and updating business fields (description, hours, service items, attributes, categories)
- Scheduled publishing of Local Posts
- Scheduled image uploads (including EXIF geo-tagging)
- Customer review monitoring and notification
- AI-assisted draft generation for review replies, with write-back
- Q&A monitoring and response
- Performance data fetching, storage, and visualization
- Operational audit logs with 24-hour rollback
- Seasonal optimization recommendations and weekly action lists
The scope of features may vary based on the service agreement you sign and may be added, modified, or removed as the product evolves.
三、帳戶與授權 / Accounts and Authorization
3.1 帳戶建立 / Account Creation

本服務於試行期及初期付費版採 Manager 模式，您不需於本服務直接註冊帳戶。您透過 Google Business Profile 後台將本公司指定 Google 帳號加為管理員後，即可開始使用本服務。

During the pilot period and early paid version, the Service operates in Manager mode. You do not need to register a separate account on the Service. After you add the Company's designated Google account as a Manager via the Google Business Profile back-office, you may begin using the Service.
3.2 授權範圍 / Scope of Authorization

授予本公司管理員權限即代表您同意本公司：
- 透過 Google API 讀取您之商家資料、評價、Q&A、Performance 數據
- 經您之服務協議書授權之範圍內，對您商家進行寫入操作
- 將相關資料儲存於本公司之系統，並依本服務隱私權政策處理

By granting Manager access, you authorize the Company to:
- Access your business profile data, reviews, Q&A, and Performance data through the Google API
- Perform write operations on your business profile within the scope authorized by your service agreement
- Store related data in the Company's systems and process it in accordance with our Privacy Policy
3.3 撤銷授權 / Revoking Authorization

您可隨時於 Google Business Profile 後台撤銷本公司之管理員權限；撤銷後本公司之自動化操作將立即停止。撤銷不影響您之既有資料導出權利（請見第十條）。

You may revoke the Company's Manager access at any time through the Google Business Profile back-office. Upon revocation, our automated operations will cease immediately. Revocation does not affect your right to export existing data (see Section 10).
四、客戶責任 / Client Responsibilities

您同意：
- 提供真實、準確、最新之資料予本公司
- 維護所授予之 Google 帳號權限完整性，及時通報任何權限變更
- 遵守 Google Business Profile 之政策與所有適用法律
- 不利用本服務從事違法、詐欺、騷擾、或侵害第三方權利之行為
- 確保上傳之圖片、文字、其他內容擁有合法使用權，且不侵害任何第三方之智慧財產權、肖像權、隱私權
- 維護自身帳號密碼與通訊通道之安全（如 Discord/Telegram/Line 之帳號或群組設定）
- 對本服務所推送之自動化決策（如 AI 草擬之評價回覆）於採用前進行適當審閱

You agree to:
- Provide truthful, accurate, and up-to-date information to the Company
- Maintain the integrity of the granted Google account permissions and promptly notify any changes
- Comply with Google Business Profile policies and all applicable laws
- Not use the Service for illegal, fraudulent, harassing, or rights-infringing activities
- Ensure that uploaded images, text, and other content are legally usable and do not infringe any third party's intellectual property, image rights, or privacy
- Safeguard your own account credentials and notification channel configurations (e.g., Discord/Telegram/Line settings)
- Appropriately review automated outputs (e.g., AI-drafted review replies) before adoption
五、禁止行為 / Prohibited Use

您不得：
- 利用本服務從事關鍵字堆疊、虛假商家資訊、或其他違反 Google Business Profile 政策之行為
- 對本服務進行逆向工程、反組譯、或試圖取得原始碼
- 干擾、破壞、或試圖未授權存取本服務之伺服器、網路、或其他系統
- 使用自動化工具（爬蟲、機器人）大量爬取本服務之內容（合理使用 API 不在此限）
- 將本服務轉售、轉授權、或提供予未授權之第三方使用
- 上傳含有惡意程式碼、病毒、或有害內容之檔案
- 假冒他人身份或濫用本公司之識別標誌、商標

You may not:
- Use the Service for keyword stuffing, false business information, or other practices violating Google Business Profile policies
- Reverse-engineer, decompile, or attempt to obtain the source code of the Service
- Interfere with, disrupt, or attempt unauthorized access to the Service's servers, networks, or systems
- Use automated tools (scrapers, bots) to mass-extract content from the Service (legitimate API use excluded)
- Resell, sublicense, or provide the Service to unauthorized third parties
- Upload files containing malicious code, viruses, or harmful content
- Impersonate others or misuse the Company's identifiers or trademarks
六、智慧財產權 / Intellectual Property

- 本服務之軟體、介面、商標、文件、報表模板等智慧財產權皆屬本公司或其授權方所有
- 您上傳或產生之內容（圖片、商家描述、評價回覆等）之智慧財產權歸您所有；您授予本公司處理該內容以提供本服務所需之非排他性、全球性、免授權金之使用權
- 本服務所產生之分析報表、優化建議由本公司著作；您於合作期間內可不限次數使用，但不得轉售予第三方

- Intellectual property in the Service's software, interface, trademarks, documentation, and report templates belongs to the Company or its licensors
- Intellectual property in content you upload or generate (images, business descriptions, review replies, etc.) belongs to you; you grant the Company a non-exclusive, worldwide, royalty-free license to process such content as needed to provide the Service
- Analytics reports and optimization recommendations generated by the Service are authored by the Company; you may use them without limit during the engagement, but may not resell them to third parties
七、第三方服務 / Third-Party Services

本服務整合下列第三方服務以實現功能。您使用本服務即同時受該等第三方之服務條款約束：
- Google Business Profile API（Google LLC）— 受 Google API 服務條款 約束
- Anthropic Claude API（Anthropic, PBC）— 受 Anthropic 商業服務條款 約束
- 通知通道：Discord、Telegram、Line — 各受其平台之服務條款約束
本公司無法控制第三方服務之運作或政策變動。如第三方服務中斷、限縮或政策變更，可能影響本服務功能；本公司將於合理範圍內努力提供替代方案。

The Service integrates the following third-party services. By using the Service, you also agree to the terms of these third parties:
- Google Business Profile API (Google LLC) — governed by the Google APIs Terms of Service
- Anthropic Claude API (Anthropic, PBC) — governed by the Anthropic Commercial Terms of Service
- Notification channels: Discord, Telegram, Line — each governed by their platform's terms
The Company cannot control the operation or policy changes of third-party services. Service disruptions, limitations, or policy changes by third parties may affect Service functionality; the Company will use reasonable efforts to provide alternatives.
八、服務變更與終止 / Modifications and Termination
8.1 服務變更 / Service Modifications

本公司保留隨時新增、修改、暫停、或終止本服務任何功能之權利。重大變更將以 Email 或服務內公告通知您，重大功能砍除前至少提前 30 日通知。

The Company reserves the right to add, modify, suspend, or discontinue any feature of the Service at any time. Material changes will be communicated by email or in-service notice; major feature removals will be notified at least 30 days in advance.
8.2 終止 / Termination

任一方均可依服務協議書條款終止本服務關係。本公司於下列情況可立即暫停或終止本服務：
- 您嚴重違反本條款或服務協議書
- 您之行為對本公司、第三方、或本服務造成法律或營運風險
- 因法律要求或主管機關命令
- 您之 Google 帳號授權被撤銷或商家被停權
終止後，您之資料將依隱私權政策第六條處理。

Either party may terminate the Service relationship per the service agreement. The Company may immediately suspend or terminate the Service if:
- You materially breach these Terms or the service agreement
- Your conduct creates legal or operational risk for the Company, third parties, or the Service
- Required by law or government order
- Your Google account authorization is revoked or your business profile is suspended
Upon termination, your data will be handled per Section 6 of the Privacy Policy.
九、免責聲明 / Disclaimers

本服務以「現狀」（as-is）及「現有可用」（as-available）方式提供。本公司不就下列事項作擔保：
- 本服務將不會中斷或無錯誤
- 本服務能達成您之特定商業目標（包括但不限於排名提升、曝光增加、營收成長）
- 透過本服務所取得之資料完全準確或即時（資料源自 Google API，本公司無法控制其準確性與延遲）
- 第三方服務之穩定性與可用性

The Service is provided "as-is" and "as-available". The Company does not warrant:
- That the Service will be uninterrupted or error-free
- That the Service will achieve your specific business goals (including but not limited to ranking improvements, increased exposure, or revenue growth)
- That data obtained through the Service is fully accurate or real-time (data originates from Google APIs whose accuracy and latency are outside our control)
- The stability or availability of third-party services
十、責任限制 / Limitation of Liability

於法律允許之最大範圍內：
- 本公司不就任何間接、附帶、特殊、衍生或懲罰性損害（包括但不限於利潤損失、業務中斷、商譽損害、資料損失）負責
- 本公司之累積責任限於您於損害發生前 12 個月內實際支付予本公司之服務費用總額；於免費試行期，此上限為新台幣 10,000 元
- 上述限制適用於任何法律理論（合約、侵權、嚴格責任等）
於法律不允許之強制責任（如重大過失、故意行為、消費者保護強制責任）不受上述限制。

To the maximum extent permitted by law:
- The Company is not liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to lost profits, business interruption, reputational harm, or data loss)
- The Company's aggregate liability is limited to the total fees actually paid to the Company in the 12 months preceding the claim; during the free pilot period, this cap is NT$10,000
- These limitations apply under any legal theory (contract, tort, strict liability, etc.)
These limitations do not apply to liability that cannot be excluded by law (e.g., gross negligence, willful misconduct, mandatory consumer protection liabilities).
十一、賠償 / Indemnification

您同意對因下列事由所生之第三方索賠，賠償本公司並使其免責：
- 您違反本條款、服務協議書、或適用法律
- 您上傳或授權本服務發布之內容侵害第三方權利
- 您濫用本服務之行為

You agree to indemnify and hold harmless the Company from third-party claims arising from:
- Your violation of these Terms, the service agreement, or applicable law
- Content you upload or authorize the Service to publish that infringes third-party rights
- Your misuse of the Service
十二、準據法與爭議解決 / Governing Law and Disputes

本條款之解釋與適用以中華民國法律為準據法。任何爭議雙方應先誠信協商；協商不成，雙方合意以台灣台北地方法院為第一審管轄法院。

These Terms are governed by the laws of the Republic of China (Taiwan). Any disputes shall first be addressed through good-faith negotiation; failing that, the parties agree to the jurisdiction of the Taipei District Court as the court of first instance.
十三、條款修改 / Changes to These Terms

本公司可能不時修訂本條款。重大修改將透過 Email 或服務內公告方式通知您，並於本頁面標示「最後更新」日期。修改後您繼續使用本服務即視為接受新版條款。

The Company may update these Terms from time to time. Material changes will be communicated by email or in-service notice, and the "Last Updated" date will be revised. Continued use of the Service after changes constitutes acceptance of the revised Terms.
十四、其他條款 / Miscellaneous

- 可分割性：若本條款任一條款被認定無效或不可執行，其他條款仍維持有效
- 不棄權：本公司未行使本條款下之權利，不構成對該權利之棄權
- 完整協議：本條款連同服務協議書與隱私權政策，構成雙方就本服務之完整協議，取代此前所有口頭或書面協議
- 語言版本：本文件為中英對照版。如有歧義以中文版為準

- Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect
- No waiver: Failure by the Company to exercise any right under these Terms does not constitute a waiver of that right
- Entire agreement: These Terms, together with the service agreement and Privacy Policy, constitute the entire agreement between the parties regarding the Service, superseding all prior oral or written agreements
- Language: This document is in bilingual format; in case of ambiguity, the Chinese version prevails
